MASTER SERVICE AGREEMENT (MSA) FOR WEBSITE DEVELOPMENT AND INFRASTRUCTURE MANAGEMENT

1. PARTIES AND ADDRESSES FOR LEGAL SERVICE

1.1 The Provider is Scearp Communications (Pty) Ltd, its subsidiaries and divisions, with its registered address for all formal legal notifications situated at: 24A Eros Street, Beyerspark, Boksburg, 1459, South Africa.

1.2 The Client’s address for legal service is the physical and electronic address captured within the approved project quotation or service setup request.

 

2. PROJECT MILESTONES AND DEVELOPMENT COMPLIANCE
2.1 The Scope: Web development and engineering projects will be executed strictly in accordance with the signed Functional Specification Brief attached to the approved project quotation. Any deviations or expansions will require a formal, written Addendum.

2.2 Client Supply Defaults: The Client is legally required to supply all textual content, corporate imagery, logos, database assets, and specific font licensing profiles required for project execution within 14 calendar days of contract signature. Should the Client fail to supply these dependencies, the payment milestones linked to the project timeline shall remain fully enforceable and payable on the original projected dates.

2.3 Staging Sign-off: Upon delivery of the development staging link, the Client shall have exactly 7 (seven) calendar days to evaluate the system and log any functional bugs via the official support channel. In the absence of a written bug report within 7 days, the project is legally deemed fully functional, accepted by the Client, and the final balances fall due immediately.

 

3. INFRASTRUCTURE SECURITY AND SYSTEM TERMINATION CONDITIONS

3.1 Emergency Security Suspension: Scearp Communications reserves the absolute right to isolate or suspend any website hosting profile, script file, or email node immediately and without prior notice if the system detects that the Client’s installation has been compromised, contains malicious code, is executing malware, or is participating in a Distributed Denial of Service (DDoS) attack or an unauthorized spam campaign. The service will remain isolated until the Client pays for professional remediation.

3.2 Permanent Server Scrubbing: Upon termination or cancellation of the hosting agreement by either party for any reason, the Company is legally released from any duty of storage and will permanently delete all website files, transactional databases, and server configurations from all active storage blocks. Scearp Communications bears no liability for data lost post-termination.
